Abu Dhabi AI company is exploring a potential majority stake sale to US investors or a new US structure. This comes as its current chip access window approaches its 2027 deadline.
According to Bloomberg, G42 is considering a major corporate restructuring to protect its access to the advanced AI chips it needs to scale. This would potentially bring a US company in as a majority shareholder or create a new entity in the US.
Why You Should Care
For G42, the discussions are about more than ownership. Access to the most advanced AI chips is central to its expansion across cloud computing, data centers and AI applications. The outcome could also shape how one of Abu Dhabi’s most prominent AI companies balances its regional ambitions with the US technology and regulatory environment.
G42 currently has approval to purchase advanced AI chips without a US license until around April 2027. Beyond that window, the company would need to meet new structural requirements to maintain access.
The Details
According to Bloomberg’s reporting, G42 executives have held exploratory discussions with potential US companies about taking a majority stake in the business. Another option under consideration is establishing an entirely new vehicle in the US.
Neither option has been finalized, and G42 has not confirmed that a transaction is underway. The discussions come as G42 continues to deepen its ties with US technology companies. Its existing investors include Microsoft and private equity firm Silver Lake, alongside Abu Dhabi-based Mubadala Investment Company.
The Abu Dhabi based technology group operates businesses spanning cloud computing, data centers, and AI applications. It is currently building a 5-gigawatt UAE-US AI Campus in Abu Dhabi, with Nvidia supplying the semiconductors. Moreover, securing sustained access to advanced chips would support G42’s ability to expand this infrastructure and pursue its broader AI ambitions.
The Ripple
The outcome could have implications beyond G42. A deeper US ownership structure would further connect Abu Dhabi’s AI infrastructure strategy to American technology and capital.
It also comes as the UAE strengthens its broader economic relationship with the US. The country has committed to investing USD 1.4 trillion in the American economy, Meanwhile, Washington has recently eased some export restrictions on the UAE, opening the door to greater access to advanced AI chips.
What to Watch
The key question is whether G42 ultimately changes its ownership or corporate structure to secure longer-term access to advanced AI chips. Any move involving a US majority shareholder or a new US entity would mark a significant evolution in the company’s structure and deepen the link between Abu Dhabi’s AI ambitions and US technology policy.
