An Abu Dhabi Investment Authority (ADIA) subsidiary is participating in the USD 2.34 billion acquisition of Canada’s Slate Grocery REIT. It joins US based Brixmor Property Group and investment firm Everview Partners in a transaction focused on grocery and anchored retail assets in the US.
The ADIA unit is investing alongside Everview, although the value of its commitment was not disclosed. The transaction will split Slate Grocery REIT’s portfolio between two ownership structures. Brixmor will acquire 23 properties directly. Meanwhile, a newly established joint venture between Brixmor and Everview affiliates taking the remaining assets.
Why You Should Care
The deal gives an Abu Dhabi sovereign investor exposure to a large portfolio of US retail real estate through a transaction involving an established US property operator and an institutional investment partner.
For ADIA, the investment also adds to its exposure to income generating real assets outside the UAE. The transaction highlights how sovereign wealth capital can participate in international property deals alongside specialist investment firms rather than acquiring entire portfolios directly.
For the US retail property market, the focus on grocery anchored centers is also significant. These properties typically combine retail space with grocery stores that can serve as recurring traffic drivers for surrounding tenants.
The Details
Brixmor will acquire 23 grocery anchored shopping centers from Slate Grocery REIT for USD 636 million. The properties span approximately 3 million square feet.
A newly formed institutional joint venture between Brixmor and affiliates of Everview Partners will acquire the remaining 92 assets for USD 1.71 billion. Together, the two transactions value the REIT’s portfolio at approximately USD 2.34 billion.
Slate Grocery REIT owns and operates grocery anchored retail properties in the US. The structure of the deal separates the portfolio between Brixmor’s direct acquisition and a joint venture involving Everview, with the ADIA subsidiary participating as an investor alongside Everview.
The announcement did not disclose the ADIA unit’s financial commitment or provide details on its ownership position in the investment.
The Ripple
The transaction brings sovereign wealth capital into a US retail real estate portfolio at a time when institutional investors continue to use joint ventures to access large property portfolios.
It also expands the group of investors involved in the transaction beyond the direct buyers. Brixmor brings its role as a US retail property owner and operator, while Everview provides the investment partnership through which the ADIA subsidiary is participating.
The structure means the impact of the transaction extends beyond Slate Grocery REIT itself. It creates a new institutional ownership vehicle for most of the portfolio and places a large group of grocery anchored properties under a combination of operating and institutional investment capital.
What to Watch
The key details still to emerge are the size of ADIA’s investment and the ownership structure of the joint venture with Everview. Those terms would provide a clearer picture of the Abu Dhabi investor’s exposure to the portfolio.
The performance of the acquired properties will also show how institutional investors are positioning around grocery anchored retail assets in the US. For Brixmor and Everview, the focus will be on integrating and managing the portfolio following the transaction, while investors will be able to assess how the assets perform under the new ownership structure.
