B Investments to Acquire 53.5% Stake in BIG Investment Group

B Investments to Acquire 53.5% Stake in BIG Investment Group

B Investments Holding, an Egypt-based private equity firm, has approved the acquisition of a 53.5% stake in BIG Investment Group Ltd., which holds a 20.4% stake in Madinet Masr for Housing and Development, according to a disclosure submitted to the Egyptian Exchange (EGX).

Why You Should Care

The proposed acquisition would bring B Investments into majority ownership of BIG Investment Group. Rather than paying BIG shareholders in cash, B Investments will allocate them shares resulting from a capital increase, subject to the rules applicable at the Egyptian Exchange (EGX).

The Details

B Investments’ Board of Directors approved the transaction at a meeting held on September 15, 2026. Under the proposed structure, B Investments will acquire 53.5% of BIG Investment Group, while shareholders of BIG will receive shares in B Investments through a capital increase.

BIG Investment Group currently holds a 20.4% stake in Madinet Masr for Housing and Development. The company did not disclose the financial value of the proposed transaction in the board resolutions.

The board also authorized the Chairman or Managing Director to appoint an independent financial advisor, if required. The advisor must be registered with the Financial Regulatory Authority (FRA).

B Investments also approved a disclosure report prepared under Article 48 of the Listing Rules and authorized the calling of an Extraordinary General Meeting following FRA approval.

Separately, the board authorized the Chairman or Managing Director to call an Ordinary General Meeting to consider waiving B Investments’ preemptive right to subscribe to the capital increase of B Ventures for Research and Services, a subsidiary of B Investments Holding.

The board also delegated its Investment Committee to take all investment and divestment decisions on behalf of the Board.

The Ripple

The transaction would change the ownership structure of BIG Investment Group, while giving B Investments an indirect connection to BIG’s existing 20.4% holding in Madinet Masr.

For BIG shareholders, the consideration will come through newly issued B Investments shares. This means the acquisition will also involve an increase in B Investments’ share capital.

The separate resolution on B Ventures concerns B Investments’ preemptive right to participate in the subsidiary’s capital increase and will be considered at an Ordinary General Meeting.

What to Watch

The immediate milestones are FRA approval and the subsequent Extraordinary General Meeting for the acquisition process. Shareholder consideration of the proposed waiver for the B Ventures capital increase is another step to follow.

The completion of the BIG transaction and the resulting capital increase at B Investments will clarify how the approved acquisition is ultimately implemented.
