Raya Holding, the investment holding firm, has approved funding of up to USD 60 million for a proposed acquisition of 100% of the equity interests in an Egyptian data center facility. The company has not yet completed the acquisition.
Raya Integration will subscribe to a capital increase in Raya Data Center to fund the equity portion of the proposed transaction.
Why You Should Care
The approval gives Raya Data Center a defined funding commitment for the proposed acquisition of an Egyptian data center facility. Raya Integration, a wholly owned portfolio company of Raya Holding for Financial Investments, will provide the funding through a capital increase in Raya Data Center.
The approved amount can reach USD 60 million (EGP 3B) based on the exchange rate applicable on the payment date. The company will use the proceeds exclusively to fund the equity portion of the proposed acquisition.
The Details
Raya Holding’s Board of Directors approved the funding resolution at its meeting on September 23, 2026. This is after reviewing the proposed acquisition of 100% of the equity interests in an Egyptian data center facility and the related binding offer. The board also reviewed the proposed funding structure and the required equity contribution.
Under the resolution, Raya Integration will subscribe to a capital increase in Raya Data Center for up to USD 60 million. The company can execute the increase in one or more tranches, using US dollars, Egyptian pounds, or a combination of both.
The applicable exchange rate will determine the Egyptian pound equivalent on each payment date. However, the total funding cannot exceed the approved USD 60 million limit.
Raya Holding confirmed that the funds remain available and unencumbered until completion of the acquisition. The company will use them exclusively for the equity portion of the purchase price.
The board’s approval also remains conditional. The acquisition must first be awarded to Raya Integration and/or Raya Data Center. The parties must then complete the definitive transaction documents and satisfy the applicable internal, regulatory, legal, and other approval requirements.
If the acquisition does not proceed, the approved capital increase will not create a funding obligation for Raya Holding, Raya Integration, or Raya Data Center unless the board decides otherwise.
Raya also confirmed its commitment to Article 44 of the Egyptian Exchange Listing and Delisting Rules. If the transaction proceeds, the company will provide a summary of a fair value study prepared by an independent financial adviser.
The Ripple
The proposed transaction would add an Egyptian data center asset to Raya’s portfolio if completed. However, the disclosures do not identify the target facility or disclose the final purchase price.
Raya also said it will comply with Article 44 of the Egyptian Exchange Listing and Delisting Rules. If the transaction is completed, the company will provide a summary of a fair value study prepared by an independent financial adviser.
What to Watch
The next key developments are the outcome of the acquisition process, completion of the transaction documents, and the required regulatory and other approvals.
The next step is whether Raya Integration and/or Raya Data Center is awarded the proposed acquisition and completes the transaction requirements. The board’s funding approval will only take effect if the acquisition is successfully awarded and the required transaction documents and approvals are completed.
